About the Role:
A UAE-based business group is looking for a seasoned Legal Specialist to navigate and lead their legal operations with a primary focus on cross-border compliance, contract law, M&A, litigation, and regulations related to IT Act, Anti-Money Laundering (AML), and Money Laundering (ML) frameworks—across both India and UAE.
This role is for someone who doesn’t blink at complex legal jargon, thrives in fast-paced corporate settings, and can advise top leadership on how to move aggressively but smartly. You're not just here to say “no” to risk—you’re here to say “yes, but here’s how.”
Key Responsibilities:
🔹 Contract Law & Drafting

Draft, review, and negotiate a variety of commercial, tech, and cross-border contracts

Advise stakeholders on risk, liabilities, indemnities, and dispute resolution clauses
🔹 IT Act, AML, and ML Compliance
-
Monitor and ensure organizational compliance with Indian Information Technology Act, and UAE AML/ML regulations
-
Create policies and frameworks to align data protection, privacy, cybersecurity, and anti-fraud measures across both regions
🔹 Mergers, Acquisitions & Corporate Structuring

Conduct legal due diligence, structure transaction documentation, manage filings, and support post-deal integration

Support on capital structuring, shareholder agreements, and joint venture arrangements
🔹 Litigation & Dispute Resolution

Represent the company in civil, commercial, and employment disputes

Handle case strategy and manage external counsel in both India and the UAE
🔹 Labor & Employment Law Advisory

Advise HR on employment contracts, termination procedures, disputes, and policy compliance

Stay updated on evolving labor laws in both jurisdictions
🔹 Regulatory & Risk Management

Stay ahead of evolving regulatory environments across both India and UAE

Ensure business operations stay legally sound, especially in regulated sectors
Qualifications & Skills:
✔️ Education:
✔️ Experience:

8–10 years of legal experience in India, including in-house legal department roles

Minimum 3 years UAE experience in corporate legal/compliance environments

Exposure to high-stakes negotiations, contract lifecycle management, and compliance frameworks

Solid experience with cross-border legal frameworks, especially IT law, AML regulations, and corporate structuring
✔️ Technical Skills & Traits:

Expert knowledge of Indian IT Act, UAE AML Laws, and international ML standards

Business-savvy with the ability to work closely with non-legal teams

Strong legal drafting and negotiation chops

Able to work independently, manage priorities, and maintain a sharp eye for legal and reputational risks

Arabic proficiency is a plus, but not required
